ANNUAL ANGEL VENTURE FAIR

The 7th Annual Angel Venture Fair brings together nearly 200 private investors from New York, New Jersey, Pennsylvania, Delaware, Maryland, Virginia, Washington, D.C. and beyond.

*Angel investors will be assisted in finding other angel investors with like interests, investments, expertise and risk tolerances.

*More than 20 presenting or exhibiting companies selected from nearly 150 applications will present throughout the day.

The Angel Venture Fair is organized by and specifically for the benefit of private investors. By registering and attending the 7th Annual Angel Venture Fair, you are representing that you are a qualified accredited investor as defined by the Securities and Exchange Commission.

Title: "Terms and Term Sheets: How they work.... or don't work"



AVF presents a practical approach to negotiating a term sheet from both the entrepreneur's and investor's perspective. The moderator of our morning program will ask the investors to negotiate a term sheet amongst themselves with specific attention provided to various sides of such terms as options, valuation, liquidation preferences and board provisions. However, the twist is that some investor members of the panel will be asked to take the role of the entrepreneur while others remain in the role of investor in this negotiations. In the process, the audience can see how terms may be interpreted, misinterpreted, manipulated or negotiated in a way that serves the needs of both parties. All members of the audience will receive a copy of the term sheet which will be used for this mock deal. Members of the audience may follow along or participate in providing input to the process through the panel moderator. This is one program you don't want to miss.
